1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Uranion EMEA Ltd, a company registered in England and Wales ("we", "us", "our", "Company"), governing your use of our website and services ("Services").

By accessing our website or using our Services, you agree to these Terms. If you are accepting these Terms on behalf of a company or legal entity, you represent and warrant that you have authority to bind that entity to these Terms.​

2. Services Description

Uranion provides a low-code platform for building AI-native enterprise applications with state preservation and workflow orchestration. We also offer custom engineering services, including AI system design, legacy system migration, and bespoke software development for organizations requiring fully engineered solutions.​

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time. We will provide reasonable notice of material changes affecting active service engagements.​

3. Our Obligations

We will provide Services with reasonable care and skill in accordance with industry standards. Where we agree to specific deliverables or timelines, we will perform the Services within the agreed timeframe. Any representations we make about our Services are binding where you rely on them in entering into this agreement.​

4. Your Obligations

When you contact us, request consultations, or use our Services, you agree to:

  • Provide accurate, complete, and current information
  • Maintain the confidentiality of any account credentials
  • Cooperate reasonably with us in the provision of Services
  • Notify us promptly of any unauthorized use of your account

5. Intellectual Property Rights

Our Property: All content on this website and in our Services, including text, graphics, logos, software, code, documentation, and trademarks, is the property of Uranion EMEA Ltd and protected by UK and international copyright, trademark, and intellectual property laws.​

License to You: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.​

Your Data: You retain all ownership rights in any data, content, or materials you provide to us ("Customer Data"). You grant us a limited license to use Customer Data solely to provide the Services to you.​

Customer References: We may list your company name and logo as a customer in our marketing materials unless you opt out by contacting

6. Privacy and Data Protection

Your use of our Services is subject to our Privacy Policy at

, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and protect your information in compliance with UK GDPR, EU GDPR, and other applicable data protection laws.​

7. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of applicable laws
  • Attempt to gain unauthorized access to our systems, networks, or data
  • Interfere with, disrupt, or damage the Services or servers
  • Transmit viruses, malware, or harmful code
  • Infringe our intellectual property rights or those of third parties
  • Use the Services in any manner that could harm our reputation
  • Reverse engineer, decompile, or disassemble any software we provide​

8. Fees and Payment

Where Services are provided for a fee, pricing will be agreed in writing before Services commence. Unless otherwise agreed, payment is due within 30 days of invoice date. We reserve the right to suspend Services for non-payment after providing reasonable notice.​

All fees are exclusive of VAT and other applicable taxes, which will be added where required by law.​

9. Warranties and Disclaimers

Our Warranties: We warrant that we will perform Services with reasonable care and skill. Where we provide digital content or software, we warrant that it will be of satisfactory quality and fit for any particular purpose you have made known to us.​

Disclaimer: Except as expressly stated in these Terms, the Services are provided "as is" without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.​

10. Limitation of Liability

Excluded Liability: Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under UK law​

Limited Liability: Subject to the above, our total liability to you for any loss or damage arising from these Terms or the Services shall not exceed the greater of (a) the fees paid by you in the 12 months preceding the claim, or (b) £100.​

Excluded Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages.​

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms
  • Your violation of applicable laws or regulations
  • Your infringement of third-party rights
  • Your Customer Data or use of the Services​

12. Term and Termination

These Terms remain in effect for as long as you access or use our Services. Either party may terminate these Terms:​

  • For material breach, with 30 days' written notice and opportunity to cure
  • Immediately if the other party becomes insolvent or enters bankruptcy proceedings
  • Immediately for violation of intellectual property rights or confidentiality obligations​

We may suspend or terminate your access immediately if you violate these Terms or pose a security risk.​

Effect of Termination: Upon termination, all licenses granted to you terminate immediately. You remain liable for all fees accrued prior to termination. Sections covering intellectual property, confidentiality, liability limitations, and dispute resolution survive termination.​

13. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party and to use such information only for purposes related to these Terms. This obligation survives termination for five years.​

14. Changes to Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. Material changes will be communicated via email to your registered address or by prominent notice on our website at least 30 days before taking effect. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.​

15. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, acts of government, war, terrorism, pandemics, strikes, or failures of internet infrastructure.​

16. Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms.​

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.​

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements, understandings, and communications.​

19. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.​

For customers in the EU, nothing in this clause affects your rights under mandatory consumer protection laws in your country of residence.​

20. Dispute Resolution

Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.​
